Corporate Counsel The candidate will support the process of reviewing, drafting, negotiating, managing, and tracking of agreements to promote legal accuracy, effective strategy, and compliance with company and regulatory requirements in support of the business, which includes all client-facing agreements, vendor agreements, partner and referral agreements, and other transactional agreements. Develop, review, and improve, in collaboration with affected business stakeholders, internal processes related to pricing, approval, policies and other requirements impacting contractual arrangements and strive to develop and implement best practices. Provide counsel on legal compliance and participate as part of a team to facilitate strategic initiatives. Anticipate and mitigate potential legal problems within the organization and develop strategies to avoid costly litigation and reduce potential areas of risk. Administer and resolve legal issues that arise in existing commercial relationships. Partner with the team responsible for completing, filing, and sourcing ancillary documents for transactions, such as corporate registrations. Provide legal research and other due diligence as needed.
Qualification and Experience
The candidate must have J.D. and Ohio Bar admission. Should have 3- 5 years of experience: Drafting and negotiating technology and commercial-related contracts and agreements. Counseling business clients with proficiency in key corporate legal areas; prior corporate in-house experience required. SaaS and/or public company experience preferred; financial and payroll industry experience a plus. Should have strong business acumen and a responsive, service-oriented attitude. Must have excellent written, interpersonal and presentation skills to internal and external executives including a Board of Directors.
