Senior Associate General Counsel, Real Estate The candidate will be responsible for real estate legal services relating to the day-to-day operations of hospitals, surgery centers, employed physicians, and the HSC's other operating divisions and facilities, including leasing, acquisition, disposition, development, construction, and related matters to ensure compliance with Company policy, procedures, and applicable governmental and healthcare laws. Independently manages real estate legal matters and provides legal guidance, and may manage other depart-mental personnel, among other responsibilities, and at times under the direction of the Vice President and Associate General Counsel. Anticipates and mitigates potential legal problems and develops strategies to avoid costly litigation and reduce potential areas of risk. Identifies issues and utilizes strategic ability to react and formulate action plans. Identifies opportunities for growth, consolidation, and planning, and reviews agreements and applicable law as necessary to formulate business and legal strategy, including recommendations for strategic real estate efficiency and cost savings opportunities. Participates as needed in acquisition or divestiture transactions, including on-boarding of new acquisitions and compiling due diligence materials for divestitures. Assists in the development of processes, templates, and training materials, utilizing available technologies to improve and promote efficiency, consistency, and compliance with regulatory and business requirements, and provides education and training updates to Hospitals, related entities, and HSC Departments. Collaborates closely with and assists other attorneys and the Compliance Department to investigate potential compliance concerns and other issues to minimize risk to the Company. Supervises and directs outside counsel retained on behalf of the Company or one or more of its subsidiaries or affiliates with regard to legal matters and manages outside counsel spend in accordance with the Departmentâ€™s budget. Oversees other outside vendors such as appraisers and property managers. Act as a critical liaison between the Legal Department, other departments at the HSC, and Hospital Group Leadership. Perform other duties as assigned. Manages the work of others, including planning, assigning, scheduling and reviewing work; ensures quality standards. May be responsible for hiring, terminating, training and developing, reviewing performance and administering corrective action for staff. Must have Juris Doctor (J.D.) Degree. Should have 8-10 years of experience, preferably in a hospital/healthcare environment. Must have Tennessee (TN) license to practice law.
