Senior Associate General Counsel The candidate will assists the General Counsel and Deputy General Counsel in the development and implementation of legal strategies to support key business objectives. Selects and retains outside counsel for matters incurred in the ordinary course of business, and assists the General Counsel and Deputy General Counsel in selecting and retaining outside counsel for extraordinary matters of critical significance. Capable of independently handling and/or leading projects of high corporate significance with minimal direct oversight and direction. Leads and develops junior members of the legal team and para-professional and support staff. Direct supervisory responsibility of para-professional and support staff, and/or junior level attorneys. Directly, or working in a supervisory capacity with respect to junior attorneys or outside counsel, researches, interprets and provides legal advice regarding medium-high complex federal and state laws, regulations, interpretive guidelines, advisory opinions and court cases related to corporate and health care issues, including but not limited to fraud and abuse, Stark, anti- , HIPAA, confidentiality, and State and federal reimbursement. Directly, or working in a supervisory capacity with respect to junior attorneys or outside counsel, reviews and provides legal direction related to inquiries/complaints of medium-high complexity from state and federal administrative, regulatory and other governmental or accreditation agencies, including performing necessary research of applicable law and internal practices. Drafts or supervises junior attorneys or outside counsel in drafting and/or reviewing responses to opposing counsel and other entities. Analyzes, facilitates, negotiates and drafts transaction documents of medium-high complexity for, including but not limited to, asset purchases, physician referral source arrangements, purchases of practices, leases of employees, corporate governance, recruitment loans and leases of real property. Supervises, or directly participates in, the drafting of policies and procedures for the organization; to include areas of ethics, compliance, intellectual property, employment law matters, conflict of interest, etc. Conducts and/or leads internal legal investigations, including managing outside counsel. Assesses claims or potential claims for level of risk, develops or participates in the development of strategies to address such risk, and participates in or leads the implementation thereof. J.D. degree from an ABA accredited law school and a member in good standing of the bar of at least one state in the United States, with the ability to be admitted as authorized in-house counsel in Florida if not presently admitted as a member of the Florida Bar is required. Must have 10+ years of significant, post-bar legal experience; or at least seven (7) years with board certification by a state bar in an applicable practice area. Health law experience is required. Significant litigation and/or litigation management experience, with 1st chair experience preferred.
