Paralegal The primary duties and responsibilities of this position include the following. Other duties may be assigned. Support the corporate governance function, including assistance with the preparation, distribution and maintenance of board materials and minute books for B&G Foods and its subsidiaries. Assist with the preparation of annual meeting materials, including the proxy statement. Create first drafts of form agreements and other documents for review by supervising attorneys. Assist with respect to strategic transactions, including acquisitions, divestitures and debt and equity financing. Maintain transaction checklists, including due diligence checklists. Track and monitor progress of transition and integration milestones. Liaise with internal business groups and/or target businesses with respect to due diligence requests, production and review and otherwise assist with due diligence matters. Prepare initial drafts of certain transaction documents, including certificates and resolutions. Assist with transaction closings. Assist with SEC reporting and corporate governance issues. Assist with all aspects of B&G Foods’ compliance and ethics program. Assist with food regulation, label review and product guaranty & hold harmless agreements. Assist with marketing and advertising claims review. Assist with legal document production. Assist with stock plan administration. Assist with patent and trademark maintenance. Assist with document management and records retention compliance. Assist with processing external counsel invoices, including interfacing with external counsel and the Accounts Payable Department. Provide other administrative support to the Legal Department.

Qualification and Experience

The candidate should have Bachelor’s degree. Experience as a corporate & securities or food regulation paralegal at a top law firm or public company is a plus. Ability to maintain the highest degree of ethics and able to preserve absolute confidentiality. Highly motivated team-player with a positive attitude and desire to learn and expand skill set. Exceptional attention to detail and excellent organizational and prioritization skills. Excellent inter-personal and oral communication skills. Able to interact with all levels of the organization. Excellent writing skills, ability to generate memos, letters, reports etc., as requested by supervising attorneys. Strong knowledge in Microsoft Office products including Word, Excel and PowerPoint.
