Senior Paralegal
The candidate will work with attorneys to provide bond counsel and other legal services to issuers of tax-exempt bonds throughout Texas and across the nation. Interact with a wide range of clients including public agencies across Texas such as cities, counties and special districts, as well as various well-known nonprofit providers of higher education, healthcare, senior living and other services. Preparing and tracking financing schedules. Coordinating publication of public hearing and other notices. Maintaining consistency of conventions across documents, such as key structuring components, defined terms, authorized signatories, formatting and styles. Coordinating transaction closings, drafting opinions and closing documents, ensuring that signatories are in place and available at the proper times, and ensuring that transaction documents are finalized in preparation for closing. Assisting with the preparation and filing of reports to governmental agencies (such as the IRS, the Securities and Exchange Commission and state debt issuance filings). Basic research and review of statutory and administrative procedures. Facilitating the review of borrower organizational and project specific due diligence documentation and transaction materials, including review and summary of meeting minutes. Assisting with drafting and fact-checking issuer and borrower securities disclosure and bond sale materials. Attending and participating in working group meetings, trade conferences and client events.

Qualification and Experience

The candidate must have Bachelor’s degree from accredited four-year institution or clear demonstration of equivalent work experience and skills. Strong verbal and written communication skills are needed. Computer literacy in a Windows/Microsoft Office environment, including Excel and Power Point is critical. Transactional experience/background is required.
