Senior Tax Planning Manager The candidate will drive value by providing support to deal teams and business units throughout the organization with respect to the tax aspects of pending acquisitions, dispositions, financings, reorganizations (acquisitive and divisive), restructurings, and joint ventures, with a view to optimize taxes. Will also serve as the federal tax single point of accountability and be able to identify non-federal tax issues to be addressed by applicable SME. Work with Governmental Affairs, Investor Relations, and Communications to promote the Company's legislative priorities and assist with communications. Strong transactional tax background (focused on acquisitions, dispositions, financings, reorganizations (acquisitive and divisive), restructurings, and joint ventures) is needed. Should have 5+ years of experience working with the rules in Subchapter K, Subchapter C, and the consolidated return regulations; structuring and documenting complex M&A transactions; drafting tax memoranda, opinions, and ruling requests; reviewing transaction documents and drafting tax provisions; reviewing and commenting on the tax aspects of financial models; and supporting critical business operations and managing various projects/workstreams. Strong organizational and interpersonal skills, including the ability to coordinate effectively with various subject matter specialists and proactively support internal customer relationships. Communicates complex technical tax issues to senior management and internal stakeholders. Negotiates and drafts tax provisions in deal documents and prepares technical tax memoranda. Serves as the single point of accountability for federal tax issues and identifies non-federal tax issues to be addressed by applicable subject matter expert. Works with various business units to promote the Company's legislative priorities and assist with communications. Manages and develops team members. Performs other job-related duties as assigned. JD degree is needed. LL.M. degree is needed. Bachelor's Degree are needed. Should have 2+ years of experience preferred working on M&A tax issues at an Am Law 100 law firm or in the M&A group or Washington National Tax office of a "Big 4" public accounting firm. Energy industry preferred. Member in Good Standing of State Bar is needed.
