Vice President and Associate General Counsel Duties: Provides legal analysis on a broad array of concerns and suggests solutions. Handles complex issues and effectively communicates relevant guidance to clients. Has strong command of general principles and growing expertise in areas of specialization and business knowledge. Identify the degree of legal risk associated with any matter. Advise on legal issues and risks, complex deal structures, intellectual property and negotiation strategy. Directs and performs general corporate legal work, including review and revision of board resolutions; personnel and labor relations issues; real estate transactions and leases; tax planning as directly related to the activities of the corporation and related corporations. Active member of Management in the organization. Consults with and advises various levels of management throughout the corporation and partnered corporations on preventative and protective law. Negotiate agreements that comply with Company policies and risk tolerance. Review, draft and negotiate marketing agreements, sales contracts, licenses, intellectual property agreements and other pertinent agreements. Monitors and coordinates claims filed against the corporation or related corporations works in conjunction with investigators and attorneys in the investigatory process; review of all subpoenas and summonses to the corporation or corporate staff; advises and directs action to be taken. Judge the merit of litigation filed against or on behalf of the Company, work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted. Retains additional legal counsel as necessary; coordinate, direct, and audit work of outside legal counsel. Manages, conducts and documents on behalf of the Company, all business transactions, and asset acquisitions, sales and leases. Summarize and communicate legal concepts. Assist in development of and compliance with privacy principles and practices. Assist, as applicable, in pertinent areas with analyzing all legal and factual aspects of product administration, new business initiatives, product compliance and legal industry issues. Furnish prompt, accurate legal response for practical client utilization and where appropriate, identifies and recommends remedial measures. Maintain knowledge of internal clients and their current business activities. Provide advice and counsel consistent with business goals and objectives. Complete careful and timely legal research and maintain in-depth knowledge of significant laws and judicial determinations and litigation affecting the company. Provide Management with counsel on regulatory compliance matters and provides advice on how to handle significant issues. Draft business agreements and reviews existing agreements to ensure achievement of business objectives.

Qualification and Experience

Qualifications: JD from an accredited law school. Must have membership in good standing of a State Bar and ability to become Authorized House Counsel in Florida or admission to the Florida Bar. 7+ years' experience at a top tier law firm and/or in a corporate law department. Preferred candidate will have exposure to both environments. Strong knowledge of regulatory environment affecting business.Exhibit excellent business judgment and strategic thinking capability; hard working, well organized and possess the ability to work in a team and manage multiple projects simultaneously under deadlines. Competent in providing legal and, as appropriate, business counseling with respect to new and existing ventures. Proficient in the use of Microsoft Word and Outlook and all applicable legal software. Adept in strategizing, managing, directing and providing comprehensive, analytical, and responsive legal expertise. Strong aviation transactions background, purchase, sale, and leasing contracts, maintenance contracts, and corporate governance. Have a demonstrated ability to negotiate highly contentious contract issues effectively. Knowledge of legal principles, practices, and proceedings, regulations and rules. Possess strong working knowledge of aviation industry, experience in regulatory interactions, customer contracting, M&A and joint ventures. Have exemplary business judgment and strategic thinking capability. Ability to manage other legal resources effectively, exceptional analytical skills with a good understanding of the interrelationship between business and legal issues and risks, effective verbal and written communication skills and excellent advocacy and negotiation skills.
