Attorney - Technology & Procurement The candidate will primarily support Procurement group, and Global Technology and Operations (GTO) organization, and will focus on drafting and negotiating third party supplier agreements (including master and enterprise license agreements, cloud and SAAS agreements, services contracts, statements of work, etc.), as well as providing general legal support for GTO. The position will report to the Deputy General Counsel – Global Technology and Operations. Review, markup/draft (from forms and from scratch), negotiate and close commercial contracts, including master services agreements, statements of work, licenses, technology and professional services agreements, cloud and SAAS agreements, data licenses, leasing and financing agreements, among others. Support Procurement in commercial contracting matters, including RFPs. Provide rapid, practical, business-oriented legal/commercial contract advice to team members and directly to business clients. Support business clients and sourcing in negotiating price, deliverables, services scope, service levels, warranty and other commercial terms. Create templates, assist in policy, process and procedures design. Support business in all legal matters that arise from time to time, including compliance, dispute resolution, and litigation / investigation support. Should have 4-7 years of corporate law and commercial contracts experience, including law firm and significant in-house legal experience (experience in technology, digital media, data or market research industries preferred). Must have experience working with sourcing/procurement organizations. Should have experience negotiating complex commercial contracts, including cloud and SAAS licensing. Knowledge of data protection and privacy laws and best practices is required. Should have ability to draft and close commercial agreements with minimal support from senior staff.
