Director and Assistant General Counsel
The candidate serves as legal counsel for the finance, corporate development and joint partnerships departments, administration, and hospital departments throughout company. Responsible for legal matters, risk management and compliance issues related to mergers and acquisitions, joint ventures, strategic partnerships and other affiliations (including with physicians) for all of company. Assists finance team, corporate development, joint partnerships team and other team members on all aspects of mergers, acquisitions, joint ventures, strategic partnerships and private equity/fund investments. Assists in the drafting, negotiation and review of corporate contracts, including purchase agreements and ancillary documents, engagement letters, confidentiality agreements, joint venture agreements, operating and management agreements and other related agreements required by clients. Provides on-going guidance and support for joint ventures, strategic partnerships and corporate governance matters. Oversees and manages outside counsel engagement for complex transactions while managing outside counsel spend. Conducts extensive contract and documentation review across the organization to ensure legal and regulatory compliance. Coordinates and manages acquisition due diligence. Closely collaborates with other members of legal and compliance. Assists in the development of joint venture related policies, procedures and forms for the organization. Complies with and supports department policies, procedures, and protocols. Maintains professional competency, according to department policies, procedures, and protocols.

Qualification and Experience

The candidate should have an undergraduate degree from a recognized college or university, and J.D. degree from an accredited law school. Admission to the Bar of at least one state or the District of Columbia, preferably in North Carolina and/or Virginia, is required. Must have 10+ years of law firm or in-house healthcare M&A experience advising clients on mergers and acquisitions, due diligence, joint venture transactions, corporate governance, divestitures and other affiliation arrangements (such as co-management and independent contractor agreements). Should preferably also have experience supporting nonprofit organizations. Should also have extensive knowledge of regulatory and compliance issues, including Anti-Kickback Statute, Stark laws, HIPAA, corporate practice of medicine and other applicable federal and state laws and regulations.
