Corporate Counsel The candidate will reports to Senior Vice President, General Counsel. Will review, research, and provide legal advice regarding all laws and regulatory regimes applicable to Alaska USA and its subsidiaries; act as primary point-of-contact for the legal needs of specific Alaska USA business lines and departments; manage litigation and disputes, including outside counsel, e-discovery requirements, budget management, and internal client impact; review and negotiate contracts. Manage a system to ensure maintenance of critical corporate governance records in coordination with Executive Administration staff and Alaska USA policies as directed. Responsible for consolidation and organization of legal opinions, both formal and informal provided by outside and former legal counsel. Review legal invoices for litigation matters and maintain a reporting system for the General Counsel. Track legal actions throughout the organization and report to the General Counsel regarding current status. Maintain understanding of key laws and proposed regulatory changes applicable to credit unions and other Alaska USA business entities. Participate in periodic reviews and risk assessments of entity compliance with federal, state, and local laws, regulations, and Alaska USA policies. Maintain governance documentation to ensure Alaska USA business entities are in compliance with state laws and entity bylaws. Research and develop opinions on legal issues, pending legislation, and proposed and/or new regulations upon request. Provide legal opinions and recommendations to Executives and management as requested. Review and advise regarding company contracts, negotiations and new projects as requested. Oversee intellectual property submissions, maintenance, and enforcement. Perform other duties as assigned.
Qualification and Experience
The candidate should have Bachelorâ€™s Degree and Juris Doctor Degree required. Bar admission to practice in Alaska is required. Additional admission in Washington, California or Arizona is preferred. Must have 6+ years of corporate and commercial legal experience, preferable at a major law firm or in-house for a financial institution. Knowledge and ability to research and advise upon the statutory, regulatory, and legal requirements applicable to financial institutions and the subsidiaries that comprise the Alaska USA enterprise is essential. Strong contract negotiation and drafting skills. Experience in managing litigation is essential. Exceptional oral and written communication skills.. Strong organizational, management, and problem solving skill is essential. Proficiency in the use of personal computer is essential. Must maintain required licenses or certifications.
