Managing Counsel, Transactional Attorney The candidate will be providing transactional legal services in connection with Toyota’s research and development, manufacturing, distribution, sales, service and marketing operations in the US, Canada and Mexico. Drafting, negotiating and reviewing agreements with vendors and business partners, including contracts for the development and procurement of motor vehicle accessories, technologies and systems, as well as products and services that support business operations. Drafting, negotiating and reviewing agreements related to distribution, marketing and/or sales of motor vehicles and parts and accessories, including leasing of vehicles to dealers or other third parties for special programs, loaning or donating vehicles to third parties, sales to fleet customers, and exports of products outside the U.S.. Handling all aspects of sophisticated corporate and merger and acquisition transactions, including structuring transactions and joint ventures, drafting and negotiating term sheets and letters of intent, conducting and coordinating due diligence, negotiating transactions, drafting agreements, and effectively managing external advisers (including establishing and overseeing outside counsel budgets). Providing advice, project management and transactional support (including supervision of outside counsel) in the above areas and other areas to meet business needs. Identifying legal issues in business transactions (such as bankruptcy, supply chain management, construction, intellectual property, indemnity and tax), and providing appropriate drafting support in consultation with specialist attorneys (while experience in these identified substantive areas is a plus, it is not required). Developing and providing regular training to internal clients on issues, procedures and forms of agreements for clients handling procurement, export, advanced technology vehicles, marketing and other business functions in our headquarters office and regional offices.

Qualification and Experience

The candidate should have JD degree. Active membership in good standing in the Bar of 1 U.S. state/jurisdiction; also must be licensed to practice law in Texas (or if moving to Texas, able to obtain license promptly thereafter, with, at a minimum, a license to practice as an in-house counsel on start date) is needed. Should have extensive years of experience as a transactional attorney, preferably in a major law firm or corporation. Strong, broad experience in complex business transactions, including risk-spotting, negotiating and drafting complex and non-standard contracts, and advising on compliance issues applicable to corporate regulatory matters. Experience with a wide range of transactional issues and compliance and risk mitigation advice to a diverse body of client is needed. Interest in developing legal expertise in new substantive area is essential. Strong customer focus and interpersonal skill is needed. Excellent oral and written communication skill is needed. Experience working directly with procurement departments and/or the automotive industry is desirable. Experience in corporate governance, construction, marketing, bankruptcy, software/hardware licensing and logistics matters is desirable. Previous in-house experience desirable, including management of outside counsel, internal budgets and project coordination is needed.
