Associate General Counsel - Securities & Corporate Governance Duties: Provide strategic legal counsel to executives and senior management on a variety of corporate law matters. Lead and manage a team of attorneys responsible for supporting the public company board of directors, handling SEC filings, other public disclosures, executive compensation and other securities matters, advising on mergers and acquisitions and joint venture investments, and counseling internal investment operations. Handle matters of significant legal complexity with opportunities to be a strategic, hands-on legal partner to business leaders.
Qualification and Experience
Qualifications: JD Degree. Active license to practice law in at least one state; Active or Corporate license in state where working. 10+ years of legal experience/training. Preferred skills: Subject matter expert in securities law and corporate governance and/or mergers and acquisitions. Extensive experience advising public and private companies with respect to securities laws and corporate governance, including 1933 Act and 1934 Act filings, Section 16 issues and filings, Sarbanes Oxley matters, insider trading, and fiduciary duties. Experience advising companies involved in mergers and acquisitions, including related regulatory filings (Hart Scott Rodino and other). Prior management experience as well as legal experience in the insurance industry. Strong analytical, problem solving, risk assessment and communication skills.
