Associate Legal Counsel Duties: Responsible for drafting, reviewing and negotiating contracts, proposal documents, and other legal agreements, interpreting federal and state regulations and court rulings, reviewing and drafting responses to requests for proposal and qualification documents, purchasing documents, and licenses, managing claims and litigation, including related insurance reporting, and managing outside counsel engaged in such matters, along with providing counsel to the Company’s Executive Leadership Team, as well as Growth, Finance, and Operations departments regarding risk management and contracting strategies, and assisting in a variety of other legal matters. Understanding of design, engineering and construction contracts, employment law, insurance, joint ventures, federal contracting, public procurement, and design/build projects as they relate to compliance, legal proceedings and risk management. Experience with the engineering and construction industry is required. The position requires providing guidance to the Contracts department and other Company personnel, either directly or in-directly, while being responsible for engaging with executive leaders and operational staff daily. Advises and counsels leaders on laws and regulations, contracting processes and procedures and risk mitigation. Draft, review and negotiate contracts, subcontracts, proposal responses, and other legal agreements and documents relating to design professional and other industry-related services provided by the Company to clients in the public and private sectors, including operative agreements, joint venture and teaming agreements, confidentiality and non-disclosure agreements, license agreements and others. Interpret laws, rulings and regulations impacting contracting as well as litigation matters. Work in partnership with executive and operational leadership Examine legal data to determine advisability of defending or prosecuting lawsuits. Manage and partner with external legal counsel on Company legal, claim, and litigation matters Act in an advisory capacity making recommendations that may have an important bearing on the conduct of the organization’s business. Work with management and staff to resolve pre-litigation disputes and potential claims. Review and conduct research into legislation, cases and legal precedents to the extent required to address contract-specific or other matters. Advise and counsel staff on compliance with federal and state laws, statutes, and regulations, inclusive of procurement requirements. Provide support to multiple regions, offices, departments and practices in the Company.

Qualification and Experience

REQUIREMENTS: JD Degree from an accredited law school is required. 10-15 years' demonstrated legal experience with a major design professional, contractor, consultant or law firm in the areas of engineering and construction law (litigation experience is preferred) Experienced with Federal Acquisition Regulations and equivalent state law procurement codes Demonstrated extensive drafting and negotiation experience involving professional services and construction related agreements. Demonstrated experience with requests for proposals, design and construction contracts, joint ventures, design/build projects, insurance reporting and employment law. Experienced with Design-Build, P3, and Integrated Project Delivery contract models, including Teaming Agreements, Prime Designer Agreements, and Subconsulting Agreements. Federal contract experience preferred. Experienced with insurance-based contracting requirements. Well-developed communications skills; ability to clearly and concisely express legal issues and analysis as they pertain to business and technical concerns to executive management, finance, growth, and operational colleagues, technical colleagues and peers. Self-driven and resourceful to achieve goals independently and in groups. Flexibility to adjust and thrive in an environment with changing requirements, schedules and priorities. Ability to generate ideas, make recommendations and come to consensus. Excellent writing, presentation and meeting facilitation skills. Proficiency in MS Word, Excel and PowerPoint. Member in good standing with bar in any state Combination of firm and in-house experience preferred.
