Assistant General Counsel The candidate as a key member of the Legal team, will be responsible for the delivery of the best independent legal and commercial assessment of arrangements for the Company, always having regard to customer, employee and stakeholders. The position involves the provision of relevant advice on commercial and legal proposals and arrangements. Will negotiate, advise on, draft and review commercial and concession agreements, while overseeing the development of contracts relating to toll road operations. Advise on, review, draft and negotiate financial documents, including loan agreements, bond instruments, swap and derivatives contracts, master indentures, inter-creditor agreements and collateral agency agreements. Will negotiate, advise on and draft letters of intent and joint venture agreements with third parties with respect to the development and operation of toll road facilities. Will negotiate, review, and manage all legal aspects of project acquisition, development, financing, and sale. Will review and negotiate term sheets and other transaction documents for project acquisition and sale; manage outside counsel on M&A and project finance due diligence and project development related issues. Will experience with SEC/EMMA disclosure issues. Provide advice and counsel North America business managers on the following legal matters: Corporate compliance; Financing documents; Construction law matters; Corporate relation and marketing matters; Securities law and disclosure principles. Will advise on and negotiate legal arrangements arising out of company’s new business opportunities in North America, including investment in private toll roads and strategic alliances with industry participants. Corporate lawyers within the team must ensure that obligations are met while seeking maximum alignment with the Group’s business objectives and protection of its interests and reputation. The person must be capable of building strong and effective working relationships within the Company’s headquarters in Northern Virginia and with people at all levels across the Group. Negotiate, advise on, draft and review commercial and concession agreements, while overseeing the development of contracts relating to toll road operations. Advise on, review, draft and negotiate financial documents, including loan agreements, bond instruments, swap and derivatives contracts, master indentures, inter-creditor agreements and collateral agency agreements. Negotiate, advise on and draft letters of intent and joint venture agreements with third parties with respect to the development and operation of toll road facilities. Negotiate, review, and manage all legal aspects of project acquisition, development, financing, and sale. Review and negotiate term sheets and other transaction documents for project acquisition and sale; manage outside counsel on M&A and project finance due diligence and project development related issues. Assist with review of key financial documents, including quarterly financial statements, for legal compliance. Draft, negotiate and review software license agreements. Draft, negotiate and review professional services and consulting agreements. Advise on intellectual property issues. General Advice and Counsel. Provide advice and counsel North America business managers on the following legal matters. Advise on and negotiate legal arrangements arising out of company’s new business opportunities in North America, including investment in private toll roads and strategic alliances with industry participants. Assist with due diligence on new investments and concession and contractual arrangements for infrastructure projects.. Ensure effective relationships are developed and maintained with business clients. Demonstrates understanding of Diversity objectives through behaviours and promotion in the workplace. Qualification and Experience

The candidate should have 6+ years post admission experience in general corporate law and/or project finance. Must bring experience in M&A transactions with a strong understanding of M&A structures, documents, and related issues. Will bring experience structuring, drafting and negotiating a wide variety of complex corporate agreements. Must bring well-developed written, technical, negotiation and advisory skills. Experience in Public Private Partnerships, toll road projects, construction or property matters, highly regarded. Should have experience with SEC/EMMA disclosure issues. Prepared to undertake a wide variety of work as required. Must have experience structuring, drafting and negotiating a wide variety of complex corporate agreements. Should have well-developed written, technical, negotiation and advisory skills. Experience in Public Private Partnerships, toll road projects, construction or property matters, highly regarded.
