A law firm seeks a highly skilled and experienced Transactional Tax Partner to join its growing team. The ideal candidate will bring at least 8 years of experience in corporate and transactional tax law, with a strong focus on mergers, acquisitions, partnerships, and private equity structures. This remote role offers the opportunity to work with a diverse client base, including private equity firms, real estate investments, and foreign entities engaging in . business, while managing complex transactions and providing expert tax advice.

Duties:

  • Transactional Tax Advisory:

    • Provide expert guidance on corporate mergers, acquisitions, divestitures, and restructurings.
    • Offer counsel on the tax implications of partnerships, LLCs, joint ventures, private equity transactions, and real estate investments.
    • Advise on private equity fund formation, REITs, and capital markets transactions.
    • Analyze and provide advice on the tax effects of financing structures, with a focus on capital raising and debt-related transactions.
    • Counsel clients on . tax implications for foreign companies and individuals doing business in the ., as well as state and local tax considerations.
  • Client Relationship Management & Business Development:

    • Develop and manage a portable client base, generating at least $250,000 in annual revenue.
    • Foster strong relationships with clients, offering strategic tax solutions to support their business goals.
    • Grow and expand business opportunities by leveraging personal expertise and firm resources to attract new clients.
  • International Tax Matters:

    • Advise on cross-border transactions and provide guidance on international tax issues, including transfer pricing, tax treaties, and the impact of . tax law on foreign clients.

Requirements:

  • A minimum of 8 years of experience in transactional tax law, preferably with experience at an AmLaw 200 firm or equivalent setting.
  • Expertise in corporate tax matters, including mergers, acquisitions, joint ventures, private equity, and real estate investments.
  • Proven ability to manage complex tax-driven transactions and provide top-tier tax advice.
  • A portable client base generating at least $250,000 annually or a demonstrated business development plan.
  • Strong understanding of . tax laws, including state and local tax issues, as well as international tax considerations.
  • Ability to work independently while collaborating effectively with clients and colleagues.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed and in good standing with the relevant state bar.

Skills:

  • Deep expertise in transactional tax law, including M&A, partnerships, private equity, and real estate tax matters.
  • Strong negotiation, drafting, and client management skills.
  • Ability to provide strategic guidance on cross-border and international tax matters.
  • High level of self-sufficiency, with a proven track record of managing client relationships and developing new business.
  • Strong analytical and problem-solving abilities.
  • Excellent communication skills, both written and verbal.
