A law firm in Philadelphia is seeking a Capital Markets Associate Attorney with 4-7 years of experience in capital markets law. The ideal candidate will have experience representing issuers, underwriters, and placement agents in public offerings, private placements, and other securities offerings, with a strong background in compliance and reporting under the 1933 Act and 1934 Act. Experience with permanent capital, M&A, and the life sciences industry is a plus. Large law firm experience is required.

Key Responsibilities:

  • Represent issuers, underwriters, and placement agents in public offerings, private placements, and other securities transactions.
  • Draft, review, and negotiate legal documents related to capital markets transactions, including registration statements, prospectuses, and private placement memoranda.
  • Ensure compliance with regulatory requirements under the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Provide legal counsel on matters related to permanent capital and mergers and acquisitions (M&A) transactions.
  • Advise clients on securities laws, regulatory compliance, and reporting obligations.
  • Collaborate with internal teams and external advisors to ensure comprehensive legal support for capital markets transactions.
  • Stay current with industry trends, regulatory changes, and developments affecting capital markets and securities law.

Requirements:

  • 4-7 years of experience in capital markets law, with a focus on public offerings, private placements, and securities compliance.
  • Proven experience representing issuers, underwriters, and placement agents in various securities transactions.
  • Knowledge of and experience with compliance and reporting under the 1933 Act and 1934 Act.
  • Experience with permanent capital and M&A transactions is helpful.
  • Familiarity with the life sciences industry is a plus.
  • Large law firm experience required.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Excellent academic credentials.

Skills and Abilities:

  • Expertise in drafting and negotiating capital markets documents and agreements.
  • Strong understanding of securities laws, including the 1933 Act and 1934 Act.
  • High attention to detail and accuracy in legal document preparation and compliance.
  • Excellent analytical and problem-solving skills, with the ability to manage complex transactions.
  • Effective written and verbal communication skills, with the ability to clearly explain legal concepts and issues.
  • Strong organizational skills and the ability to manage multiple projects and deadlines simultaneously.
  • Ability to work collaboratively within a team and independently in a fast-paced environment.

Certifications:

  • Active membership in the Pennsylvania Bar or eligibility for admission.
