Director & Counsel
Duties: Negotiate and draft IP-related and commercial agreements, including: Consulting and confidentiality agreements. membership and license agreements. Patent acquisition, sublicense, and sale agreements. Support business objectives by cultivating productive relationships with the business. Identify and resolve both routine and complex legal issues related to assigned projects and matters. Provide legal support and education to acquisitions, client development, client relations, and corporate development efforts, including negotiations with existing and prospective members’ in-house and outside counsel, as well as with third-party patent owners. Provide your expertise to all functional areas as it relates to commercial transaction and IP related work.

Qualification and Experience

Qualifications: JD Degree with 5+ years hands-on IP experience (preferably transactional and commercial contracts experience, including drafting and negotiation of agreements (e.g., licenses and confidentiality agreements)), at a notable firm as well as in-house at a technology company. Active license to practice law in California. Able to demonstrate excellent legal drafting and negotiation skills. Energized by working in the business of IP, contributing to the success of an entrepreneurial, novel business model, and growing into a position that combines IP legal and business knowledge and responsibilities. Quick to get up to speed on our legal processes, requiring very little lead-time to onboard efficiently. Able to identify and balance business strategies with legal risks. Comfortable with independently handling deadlines and conflicting priorities to deliver quality results. A proven record of good judgement, excellence, ownership, and accountability. Service-minded and passionate about results with an ability to develop positive relationships. A person with dedication and worth ethic that thrives in a collaborative culture with excellent social, networking, and influencing skills. Motivated and self-directed with a willingness to seek additional projects (including legal projects outside of the IP function). Highly focused, organized, and detail-oriented.
