Corporate Governance Professional The candidate will be responsible for coordinating compliance of the company and its subsidiaries within jurisdictions of business operations. Assimilate and maintain active and historical information of corporate and subsidiaries structure. Carry out moderately complex general governance duties within the Corporate Governance Department. Serve as technical support and back up for specialized governance areas, including maintenance of corporate records and compliance filings. Responsible for corporate subsidiary maintenance in compliance with appropriate jurisdictions. Prepare and process documentation for entity formations, qualifications, incorporations, mergers, name changes, ownership interest, dissolutions and other transactions. Maintain director and officer election information for subsidiaries, registrations, registered agents, and good standing certification. Conduct statutory research and review and prepare analysis or correspondence. Responsible for creating or obtaining requested Corporate Action Request documentation (Powers of Attorney, Resolutions; Secretary’s Certificates, organizational chart, agendas, notices, minutes, etc.) and obtaining related signed authorizations as necessary for business transactions of the subsidiaries. Custodian of active and historical predecessors subsidiary records, minute books, and web site database.
Qualification and Experience
The candidate should have a High School diploma or equivalent. Associates degree/or 60 hours college credit/or paralegal experience in applicable field is preferred. Requires a minimum of 5 years of related Administrative experience. Oil and Gas Industry Experience Preferred. Practice safe work habits at all times. Demonstrate commitment to company attributes. Intermediate level Microsoft Office (Word, Excel, Power Point) skills. Visio, CorpCharts and Secretariat software experience a plus. Strong verbal and written communication skills. Flexible, multi tasked oriented and able to work independently. Able to work with sensitive information and maintain confidentiality. Strong interpersonal and organizational skills.
