VP Legal Counsel Responsibilities: Providing leadership to the team of legal professionals supporting the North American gaming and lotter business units and the intellectual property function. Provide leadership and management of outbound intellectual property licensing program. Providing strategic and tactical legal advice in connection with the drafting, negotiation, and review of a wide variety of contracts and agreements, including gaming contracts and licensing agreements, business partner agreements, service agreements, finance agreements, purchase and sale agreements, licensing agreements and development agreements. Identify and advise on potential legal risks, and propose alternative and creative approaches to achieve goals. Manage and partner with outside counsel engaged to represent the company on contract, transactional, regulatory and other issues involving the company. Work directly with business executives on legal matters as assigned. Ensure company compliance with legal and contractual requirements.

Qualification and Experience

Qualifications: JD Degree and admission to at least one state Bar. 15+ years of relevant experience. Extensive transactional experience working in a law firm or related experience as in-house counsel. Extensive experience in intellectual property, including patents, trademarks and intellectual property licensing programs. Extensive experience leading large cross-functional legal teams in a dynamic and fast-paced environment. Extensive in gaming or other regulated industries. Strong interpersonal, analytical, problem-solving and organizational skills. Strong verbal and written communication skills and ability to communicate effectively at all levels. Ability to draft and revise complex legal documents. Good judgment and business acumen with respect to complex matters.
