Senior Counsel Data Solutions Duties: Manage all legal matters pertaining to the Data Solutions business unit within the Network Solutions division, including: Provide a variety of general corporate, commercial and contractual advice and legal services to in-house clients, including drafting and negotiation of complex data agreements. Act as advisor on issues involving the organization’s legal and regulatory compliance, including HIPAA and other federal and state privacy laws, rules and regulations. Review all relevant data and advise organization on appropriate legal action to be taken. Support sales and channel management, including managing and supporting the creation of license, evaluation, services, vendor, channel and other agreement form contracts, negotiating complex transactions, and responding to RFP’s or other similar business development opportunities. Coordinate legal matters involving outside counsel. Demonstrate experience in complex transactions, negotiations, and general corporate matters. Support R&D and products & services development, including ensuring all regulatory and related privacy requirements and product & services claims (brochures, manuals, web descriptions) are met before products & services are released into production and maintained thereafter. Understand Data Solutions partner and vendor relationships and needs and assist with negotiation of transactions. Manage disputes and claims (pre-litigation), and assist Corporate Functions Team with litigation management. Review and analyze proposed data use cases for compliance with legal, regulatory and contractual requirements, including coordinating with internal and external compliance and privacy resources as necessary. Identify Intellectual Property related issues and coordinate with internal and external resources, as appropriate. Coordinate with Corporate Functions Team regarding investigations. Coordinate with Corporate Secretary regarding mergers and acquisitions and divestitures. Assist with legal and compliance integration for companies and joint ventures that may be acquired. Coordinate with Corporate Functions, Chief Privacy Officer, Chief Security Officer, and Chief Compliance & Ethics Officer in handling and responding to privacy incidents and investigations. Assist in the development of Data Solutions specific training on various legal and compliance topics. To fulfill these responsibilities, the Data Solutions Counsel will: Manage the timeliness and effectiveness of the legal and compliance support they provide. Seek feedback from Managing Senior Counsel and recipients of legal and compliance support, and respond accordingly. Meet and consult with Managing Senior Counsel on a regular basis (both individually and in team meetings), and review and provide guidance on complex legal and compliance matters, including ensuring consistency in legal and compliance advice; share feedback from recipients of legal support. Meet and consult with the General Counsel, Managing Senior Counsel, and Chief Compliance & Ethics Officer on a regular basis to share insights, resource assignments and constraints, business/issue trends, and recommendations for enhancing efficiency of providing legal services, risk mitigation and related compliance efforts. Escalate significant matters to the Managing Senior Counsel, and regularly update the Managing Senior Counsel on such matters. Participate and assist with budget process. Will help lead the law department to become a world-class high-performing organization.
Qualification and Experience
Requirements: JD Degree from an ABA accredited law school with excellent academic credentials; admission to practice in good standing as a member of a jurisdiction is required. 7 years of experience negotiating complex data related transactions and providing legal counsel to clients, with the Company or in an equivalent attorney role at another company, not-for-profit, law firm, or government agency. Healthcare Industry experience strongly preferred. Investment management experience nice to have. In-depth knowledge of the data industry. Thorough knowledge of compliance issues associated with licensing healthcare related data, including HIPAA and other federal and state privacy laws, rules and regulations. Expertise in drafting complex data license and other related transactional agreements. Comprehensive understanding of regulatory matters, risk management and contract management associated with data licensing. Excellent interpersonal skills with an ability to provide sound, clear legal advice to clients. Aptitude to work well with larger team on seeking efficiencies for legal support. Ability to manage simultaneous projects in an efficient and timely manner. Outstanding verbal and written communication skills and advanced knowledge of the law.
