Senior Paralegal The candidate will be responsible for contract management and administration in accordance with team, departmental and company policies, legal requirements, and customer specifications. This position will work under the direction of the Sr. Manager, Legal Operations and handle other duties that are assigned or required. A material portion of this position’s work will be devoted to assisting in the legal review of sales contracts for our global customer base. In addition, this role drafts, reviews, and modifies agreements such as technology, services, supply, consulting and confidentiality agreements. A strong background in contract drafting and review is a requirement for this position including a solid understanding of contract document provisions applicable to regulated environments. Corporate governance work: draft consents, resolutions and other corporate documents; coordinate appointment and removal of all corporate officers and directors. Process markup of documents from legal department staff; draft and review non-sales standard forms of contracts (NDAs, consulting, trade show, hotel, etc.); maintain contract files, including following up on executed versions of contracts and notifying business unit representatives of impending important contract dates. The role involves frequent contact with business personnel to gather information, clarify objectives, and assess compliance with legal and corporate policies. It requires excellent writing and other communication skills, and a high level of responsiveness to business personnel in a dynamic and fast-paced environment. Provide litigation support by preparing quarterly litigation reports, coordinating document production, corresponding with insurers regarding pending claims and facilitating the execution of affidavits and subpoenas. A Paralegal Certificate preferred. 7 years corporate contracts or commercial legal experience is desirable. Should have knowledge of database management and office equipment. Must be able to maneuver around an office/productions setting, work at a desk/work station and respond to written and oral cues.
