Paralegal - Corporate, M&A and Securities The candidate will support the practice on a variety of transactions and corporate matters. Will provide support to the Group's 40 Act Practice. Corporate maintenance responsibilities will include preparing documents for formation of new entities, including bylaws, operating agreements, basic shareholder agreement and similar documents, evidencing board and stockholder actions, maintenance of minute books, corporate records and stock ledgers, blue sky and other state and federal filings. Prepare documentation for entity amendments, qualifications, withdrawals, mergers and dissolutions of corporations, partnerships and limited liability companies. Transactional responsibilities will include due diligence production, organization and/or review, drafting of miscellaneous transaction and closing documents, and assistance with closings. Research SEC filings. Prepare closing documents, including execution copies and closing binders. Bachelor's degree, paralegal certification or equivalent work experience is required. Should preferably have 3-5 years of related paralegal experience in a law firm or corporation. Strong knowledge of New York and Delaware corporate law, federal and state securities laws, and private company M&A required. Experience with public offerings, public company reporting/compliance and 40 Act work is preferred. Experience with MS Office Suite (MS Word, Excel, PowerPoint and Outlook), Adobe Acrobat and electronic data rooms needed.
