# Paralegal - Weil, Gotshal & Manges LLP ## Job Description Weil, Gotshal & Manges LLP is looking to add an experienced and knowledgeable Paralegal to its Administrative Staff team. The Corporate Paralegal will work closely with and provide support to the firm with corporate matters. The Corporate Paralegal will be responsible for assisting with the day to day management of corporate cases. ## Essential Duties & Responsibilities - Assist with transactions: organizing diligence materials, maintaining closing files, preparing signature packages, preparing execution copies of closing documents and compiling signing and closing sets. - Corporate governance matters such as maintaining minute books, stock records and stockholder files. - Prepare and coordinate filings with state and federal government agencies, as well as retrieval of documents from same agencies. - Review, draft, and prepare corporate legal documents such as incorporation/formation documents, UCC financing statements, board consents, stockholders consents and audit letters. - Form, amend, qualify and dissolve business entities. - Research and analyze information collected from public records databases. - Other duties as assigned. ## Required Knowledge, Skills and Abilities - Bachelor’s degree and strong academic credentials. Paralegal Certificate preferred. - Minimum 2-3 years’ experience in corporate law as a paralegal, PE and M&A experience preferred. - Strong analytical and problem solving skills. - Must be detail-oriented and possess excellent organizational skills. - Be proactive and have the ability to work independently and multi-task under pressure within time constraints while maintaining the highest level of confidentiality. - Excellent communication and interpersonal skills. - Ability to work with personnel at all levels with a strong service orientation. - Strong computer skills (including Microsoft Suite and Adobe). - Flexible schedule with the ability to work overtime. ## Salary & Benefits Weil, Gotshal & Manges LLP offers a competitive compensation package comprised of base pay and discretionary year-end bonus for eligible employees.
