Senior Corporate Counsel – Transactions The candidate will be drafting and negotiating customer and partner subscription and consulting agreements for SaaS offerings, as well as supplier and procurement agreements. Participating/driving in the development our contract templates, best practice processes, playbooks and automation across the entire contracts lifecycle. Managing internal projects to completion. Comfortable in and enjoys interacting with sales, company leadership, and other stakeholders on deal-related matters, projects, and training. Providing training to Sales and others on contracting and working with the Legal function. Ability to quickly triage issues and prioritize work effectively. Liaise with finance, sales operations, and other business units for approval of contractual terms and conditions on specific areas of expertise.
Qualification and Experience
The candidate must have exceptional academic and in-house and/or law firm credentials. Admitted into and in good standing with the bar of a U.S. state (excluding Louisiana) is critical. If not a member of the California Bar, should have material demonstrated experience contracting under California law or other demonstrated familiarity with California law. 3 to 4 years’ of legal experience focused on technology transactions at a top law firm and/or in-house (a combination of both is a plus) is required. Experience supporting all areas of the business by drafting and negotiating a variety of commercial agreements, specifically strong experience with SaaS and Partner agreements is necessary. Strong drafting and oral/written communication skills are must Experience supporting a global sales organization, with a client-centric approach to resolve deals with a calm demeanor is needed. Experience analyzing and balancing deals/agreements for risk, and other legal requirements to safeguard PagerDuty’s interests/values, while ensuring revenue efforts are fully supported is critical. Experience advising product management on applicable law is preferred. Experience working with security function on data security/privacy is beneficial.
