Job Overview:
A leading law firm is currently seeking an experienced Associate Attorney with 4-6 years of expertise in complex credit fund formation and insurance solutions for private fund sponsors. This role offers the opportunity to work with top-tier global asset managers and sponsors on the structuring and formation of complex credit private funds and structured credit funds. The associate will engage in a broad range of activities from fund establishment to post-formation compliance, while gaining exposure to cutting-edge regulatory developments and structured product strategies.

Duties:

  • Assist in structuring and forming complex credit private funds and structured credit funds (including rated note funds and CLO equity manager originator structures).
  • Manage the end-to-end process of private fund formation, including drafting and negotiating key fund documentation (., private placement memoranda, fund agreements, subscription agreements, advisory agreements, and legal opinions).
  • The lead fundraises from launch to close, working with clients, and investors, and negotiating side letters, while overseeing the subscription process and closing mechanics.
  • Guide on regulatory matters, including compliance with the Investment Advisers Act, Regulation D, and exemptions to the Investment Company Act.
  • Maintain knowledge of developments in the regulatory space and keep clients informed through discussions and industry insights.

Requirements:

  • 4-6 years of experience in complex credit fund formation and insurance solutions, specifically within private funds and structured credit.
  • Experience drafting and negotiating private fund documentation and managing the subscription process.
  • Proven ability to manage fund raises and handle client and investor negotiations.
  • Deep understanding of federal securities laws, including Regulation D and Investment Company Act exemptions.
  • Previous experience at a large law firm is required.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in MA.

Skills:

  • Strong drafting and negotiation skills.
  • In-depth knowledge of regulatory requirements related to private funds and structured products.
  • Ability to manage complex projects and client relationships.
  • Strong problem-solving and analytical abilities.
