Paralegal Assistant The candidate works directly with and supports in-house attorneys, paralegals, and compliance specialists on a wide range of compliance and corporate governance matters and initiatives, including, without limitation, subsidiary entity management. Will assists with compliance and corporate matters and projects, document filing initiatives, day-to-day organizational efficiencies and other matters as assigned. Assists with corporate secretarial duties, including organizing board meetings; drafting and tracking of resolutions and secretary certificates; creating and maintaining corporate minute books and stock ledgers; preparing, processing and maintaining regulatory filings. Maintain corporate records for internal subsidiaries including, maintaining minute books, updating bylaws, preparing resolutions, preparing officerâ€™s certificates, updating entity management systems and coordinating other documents related to compliance and corporate housekeeping. May conduct legal research; provide summaries to attorneys on relevant business, regulatory and compliance issues. Responsible for document organization and retention processes; organizes and maintains all core legal/compliance/corporate documents. May also collect, analyze and present reports on various types of data. Provides support to other areas of the business/department as needs arise. Must have 3 yearsâ€™ experience as a corporate/regulatory paralegal or related experience. Should have familiarity with corporate governance issues. Proficiency in Microsoft Office, including Visio (2010 or newer) and SharePoint is must.
