Real Estate Funds Lawyer
Responsibilities: Oversee private fund legal operations post-investor closings, including: Leading investment structuring with finance operations and tax teams and overseeing corporate governance matters for all fund entities. Negotiating credit facilities and ISDAs. Reviewing investment committee memorandums. Preparing and reviewing conflicts committee and LPAC materials. Taking a lead role in co-investments, including investor negotiations. Ensuring operations are in compliance with fund agreements and regulations, including by providing legal advice with respect to fund operations. Serve as lead in-house counsel for a U.S. public, non-listed REIT. Draft and negotiate ancillary fund operational legal documents, including confidentiality agreements and service provider contracts. Assist in regulatory compliance aspects of funds. Coordinate with private funds group team in fundraising and launch of new products. Oversee outside counsel and service providers.

Qualification and Experience

Qualifications: JD Degree with 5+ years of experience as a lawyer in a major law firm or in-house. Private fund experience and knowledge of the Investment Advisers Act of 1940 and federal securities laws is required. Exceptional attention to detail. Excellent interpersonal, written and verbal skills. Strong organizational and time management skills.
