ProfileAssistant General Counsel - Corporate/Transactional Duties: Oversees all legal issues for the group companies operating. Responsible for handling general corporate transactional matters, requiring familiarity with intellectual property (IP) related issues that arise in service agreements, development agreements, consulting agreements and other technology related agreements to support our design and manufacturing of products. Will report directly to the General Counsel of the Americas and will help to oversee a network of 40 group companies that design, manufacture and sell a wide variety of electric components, electrical wires and cables, industrial materials, information and communication devices and cutting-edge energy storage.
Qualification and Experience
Requirements: JD Degree from an ABA accredited law school and membership in good standing with one state Bar. 12+ years of relevant general corporate and transactional legal experience with a major law firm and corporate law department. Experience with actively drafting and negotiating contracts of various degrees of complexity. Experience counseling business units on a variety of issues including commercial matters, contract negotiations, corporate M&A activities, procurement-related matters and best practices for corporate policies and procedures. Ability to operate in a fast-paced, sophisticated and congenial work environment. Ability to supervise and work closely with outside counsel to identify and minimize business risks and to achieve strategic objectives in a cost-effective, timely basis. Willingness to work cooperatively to build a new legal function to support mature and successful businesses, and to build a sophisticated legal department from the ground-up. Ability to work variable hours and travel, as needed, to both domestic and international locations. General experience with compliance or litigation matters would be a plus. Previous experience in a corporate law department of a foreign-based global manufacturing company is preferred, but not a pre-requisite. In addition to their practice experience, strong must have exceptional communication skills, an ability to work in a collegial, business-centered environment, and an intrinsic interest in learning new areas of law. Should also have the intellectual drive to help establish a new legal function for a dynamic and growing law department of an established company.
