A law firm in Washington, DC is seeking an experienced Transactions Corporate (Capital Markets) Associate Attorney to join their team. The ideal candidate will have 4+ years of experience in equity capital markets, including drafting registration statements, Exchange Act disclosures (such as 10-Ks and 10-Qs), and ideally, M&A transactions. This role requires strong analytical skills, excellent writing abilities, and the capability to communicate effectively with clients and team members.

Duties and Responsibilities:

  • Draft and review registration statements, periodic reports, and other securities filings for equity offerings.
  • Prepare Exchange Act disclosures, including annual, quarterly, and current reports.
  • Assist in mergers and acquisitions transactions, including due diligence, drafting transaction documents, and advising on regulatory compliance.
  • Collaborate with clients, underwriters, and other advisors to execute underwritten offerings, registered directs, and confidentially marketed public offerings.
  • Conduct legal research and analysis on securities laws, regulations, and market trends.
  • Provide strategic advice to clients on corporate governance matters and compliance issues.

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to practice law in the jurisdiction where the firm is located.
  • 4+ years of experience in equity capital markets, preferably at a law firm or in-house legal department.
  • Proficiency in drafting registration statements and Exchange Act disclosures.
  • Strong understanding of M&A transactions is a plus.
  • Excellent analytical, writing, and communication skills.
  • High academic achievement throughout undergraduate and law school.
  • Ability to work effectively in a fast-paced environment and manage multiple projects simultaneously.
  • Team-oriented with a proactive approach to problem-solving.

Preferred Qualifications:

  • Experience with cross-border transactions and international securities regulations.
  • Familiarity with SEC rules and regulations governing public offerings and securities filings.
  • Prior experience advising corporate clients on complex capital markets transactions.
