Sr. Counsel & Commercial Contract Director The candidate will provide legal support, advice, and counsel to the Americas region. Draft, review, and negotiate commercial, Government and international tenders, RFPs, contracts, licenses, and other legal documents. Identify, assess, and manage legal risks facing the business. Support the continuous improvement of standard form agreements, legal processes and policies, and contract management. Deliver timely, pragmatic, and business-focused legal counsel to clients, even in ambiguous situations. Prepare corporate filings and assist VP, Contracts, Security and Legal Services with corporate governance and compliance. Legal research and writing, due diligence, transaction and litigation support, as needed. Comply with and ensure department compliance with Company health, safety and environmental policies. Comply with all applicable U.S. export control and security regulations. Other duties as required.

Qualification and Experience

The candidate should have a JD from accredited Law School. B.A./B.S. degree from an accredited college or university. 7-10 years of professional experience, preferably both law firm and in-house. International commercial experience, preferably in high-technology or defense industries. Detailed working knowledge of Commercial and Government contracts (US and International). Corporate law and transactional experience. General knowledge of export control and IPR. Management or project leadership experience preferred. US Citizen and ability to obtain and hold a security clearance, if required. Ability to handle and prioritize multiple tasks while maintaining high attention to detail. Ability to maintain strict confidentiality and handle sensitive data. Proficient with Microsoft Office applications (Outlook, Excel, Word). Must be self-motivator, highly organized and have the ability to work in a demanding, fast-paced environment. Member of the bar in good standing of at least one US jurisdiction. Excellent writing and proofing skills. Excellent interpersonal and communication skills. Supervises Commercial Contract Managers.
