Corporate Counsel The candidate will be responsible for all aspects of the contracting process, including providing legal advice and support on all contractual matters, negotiating, and drafting legal agreements, and development and management of internal contracting processes. Will support all internal disciplines including sales, finance, operations, clinical, marketing and human resources departments. Develop and maintain strong, internal working relationships across Conformis. Understand the objectives, responsibilities, and mission of the Legal department and works towards those goals. Prioritize and plan work activities; adapt for changing conditions. Draft, negotiate, approve and advise on a wide range of commercial and other contracts, including customer/sales agreements, distributor agreements, supplier agreements, other general corporate and business contracts, clinical study agreements and related documents, marketing and advertising agreements, license agreements, and employee related agreements. Provide counsel on commercial, regulatory and general corporate legal issues. Research commercial, regulatory and other general corporate issues. Develop standard agreements, processes, policies, training and strategies. Provide due diligence for corporate and other business activities. Perform other commercial general legal duties as assigned. Other responsibilities as assigned. Must have JD degree from an accredited university. Must be an active member of the Massachusetts bar (or other state bar, if intending to pass the Massachusetts bar) in good standing. Should have 3+ years of experience in practicing law in the area of general or commercial contracting or equivalent experience. Experience in the medical device field a plus. Must have knowledge of commercial contracting, including legal issues and management.
