Legal Counsel The candidate will oversee outside counsel handling various types of litigation including general liability matters, construction litigation, governmental agency claims, disputes with insurance companies, and certain contract disputes. Includes development of litigation and dispute resolution strategies, evaluating tender opportunities and tendering claims to third parties, investigation of claims, managing the discovery process, and preparation and review of pleadings and responses. Will work with Human Resources Department to oversee efficient administration of Workers Comp claims, and oversee outside counsel in handling workers’ compensation lawsuits (including cumulative trauma claims). Accept service of process and resolve service issues, and handle third party subpoenas and discovery demands, including overseeing and coordinating document production, other discovery responses, and witness testimony. Includes evaluating privilege/work product, privacy concerns, legal or contractual restrictions on disclosures, and the need for protective orders or other protection of sensitive information. Draft, distribute and monitor litigation hold notices. Draft releases and waivers. Assist Accounting Department in the timely reporting of claims to insurers. Assist with responding to third party complaints, including supplier, contractor, and fan complaints. Assist with compliance with applicable environmental rules and regulations. Coordinate bankruptcy case filings (e.g., proof of claims), respond to document and information production requests, and track case status. Negotiate, draft, review, interpret, and ensure compliance with contracts, leases, and other legal documents. This includes drafting, or overseeing the drafting of, various types of agreements and amendments or revisions, including advertising and sponsorship agreements, suite agreements, special event and hospitality function agreements, location agreements, and miscellaneous marketing and promotional agreements. Negotiate and draft various purchase and services agreements, including revisions to terms and conditions, independent contractor, consulting, and services agreement forms. Draft compensation summaries reflecting commission or bonus plans for various employee groups in compliance with applicable labor and employment laws. Review contracts for scouts and minor league staff to ensure compliance with organization policies, MLB rules, and applicable laws. Advise staff regarding the interpretation of and compliance with various agreements, such as the MLBAM and MLB Properties agreements, ballpark leases and project documents, and rights agreements. Assist with negotiation and interpretation of collective bargaining agreements with unions at Citi Field, MCU Park (Brooklyn), and NBT Bank Stadium (Syracuse), and help manage the organization’s relationships with unions and unionized employees. Provide legal advice and assistance regarding compliance with labor and employment issues and compliance with all federal, state and local labor and employment laws. Assist with grievances and arbitrations brought by unions, and with agency or administrative proceedings brought by employees or government entities. Provide legal advice and assistance, in consultation with local counsel, regarding operations at the organization’s academy in the Dominican Republic, international employees in the Dominican Republic and Venezuela, and international scouts. Assist with the process of obtaining employee visas, and participate in and track the status of the visa application process for the United States and similar processes with respect to the firm’ baseball academy in the Dominican Republic. Oversee Administrative Assistant, Legal with respect to certain tasks including the maintenance of legal department archives and litigation logs, the drafting and revision of contracts, and various litigation tasks including discovery and document gathering. Oversee administration of legal department calendar and the distribution of reminders of upcoming key dates and deadlines to other departments. Act as on-site Legal Department representative during night and weekend games (rotation with other attorneys in the Legal Department).
Qualification and Experience
The candidate should have JD degree and admission to New York Bar (current, or become admitted shortly), 1 year of experience as practicing attorney, preferably including litigation experience. Transactional experience (as a lawyer or paralegal or equivalent) is preferred. Ability to read, write and communicate in Spanish (including communicating with outside counsel and reviewing and translating legal documents) is preferred.
