Corporate Compliance Counsel / Manager The candidate as Compliance Counsel, will have broad responsibility in promoting the company’s commitment to legal compliance and business ethics in the engineering and construction industries. Work with the Legal Department and our business teams to help ensure ongoing compliance with relevant laws, regulations, and internal policies. Manage the corporate formalities of affiliated and subsidiary companies, including adherence to licensing and registration requirements, develop new policy initiatives, develop and deliver employee training programs to facilitate ongoing compliance, and communicate to a broad segment of the company regularly about business ethics and compliance. This position represents a significant opportunity to shape, build and maintain a practical and effective compliance program. Also will work closely with the company’s Assistant General Counsel on engineering and construction project trouble-shooting, claims avoidance and litigation. In this claims avoidance and litigation support role, will help manage and support fact discovery, develop claim mitigation strategies and advise project teams on claims avoidance. This position will report to General Counsel. Helping to develop and implement proactive processes, policies and procedures to ensure compliance with federal, state and local laws and regulations in a variety of subject areas, including general corporate law, engineering and construction laws and regulations, and ethics; Managing the corporate formalities of the company’s affiliated and subsidiary companies. Monitoring updates to laws and regulations to ensure compliance with applicable requirements; Updating and developing new policies and procedures, employee training programs, and practical guidance for business teams. Working closely with the Assistant General Counsel and local projects teams to assess claims and potential claims with an eye towards claims avoidance and dispute resolution. Working collaboratively with a variety of stakeholders, including legal colleagues, risk management, senior management, and Human Resources to implement and enhance the company’s compliance and ethics programs.

Qualification and Experience

A Bachelor’s degree and Juris Doctor from accredited school required. S. Bar admission in good standing is required. Experience in the engineering or construction industry is desirable. Should have 7-10 years of corporate law experience, including relevant litigation experience. Working knowledge of engineering and/or construction industry licensing laws and regulations desirable. Experience with regulatory requirements, and in building, implementing and monitoring effective compliance programs is preferred. Strong commitment to developing and maintaining positive relationships with internal and external clients is needed. Should have ability to interact comfortably with executives and senior management; a sense of humor; an open mind; flexibility as to the types of projects assigned; and solid business acumen.
