The candidate must have license to practice law, preferably in CT. 6-8 years experience in corporate practice at a law firm, and in-house in a technology-intensive or e-commerce industry. Heavy contract negotiation, drafting and review workload as well as corporate formation and acquisition documentation work. Some experience with general corporate legal needs: e.g. litigation, subpoena response, HR/ERISA and insurance law also a major plus.Contract negotiation/drafting/review, especially software licensing and other complex IT agreements constitute 70% of this role's responsibility. The remaining time, will work on the general legal needs of the department, general corporate counsel/advice, and document discovery compilation as needed. Contract negotiation, drafting and review with a focus on risk mitigation and clear/concise descriptions of the deals/services. Legal research and memos. Assists with litigation and other legal matters. Assists with stock options and corporate filings. Seasonal. Assists with management of the company's insurance portfolio. Seasonal. Review copy for legal requirements. Manages annual 50 state legal compendiums and legislative tracking. Seasonal. Assists with diverse legal and business issues on an as needed basis.
