ProfileParalegal II The candidate will handle independent preparation of standard contracts, including NDAs, and legal forms for review of attorneys. Will draft corporate board resolutions and meeting minutes. Fully immersed in legal structure of parent company and all subsidiaries. Assist in preparing board books and other board meeting materials. Prepare and maintain corporate minute books, transaction files and general corporate housekeeping. Assist with company Hotline support and reporting. Provide support to stock manager. Maintain binder for SEC filings. Assist with agency matters. Identify resources needed to support legal and business projects and obtain them in accordance with company policies and procedures. Initiate, manage, and complete various legal and business projects. Assume organizational responsibility for various projects and revise as appropriate to meet changing needs and requirements. Ensure the smooth flow of information to and from the Law Department. Maintain positive relations for the Law Department within the Company and its affiliates, associates, outside attorneys, business partners, customers, and vendors. Provide word processing and administrative support as requested. Performs miscellaneous job-related duties as assigned. Provide public notary services for department purposes. Perform legal research as needed. Paralegal Certificate from an ABA accredited institution or program is required. Must have 4+ years of law firm or corporate legal department experience. Law firm or corporate legal department experience is required. Should have experience in corporate secretary functions, document/contract drafting, and in closing transactions, including acquisitions and divestitures. Ability to quickly learn corporate governance requirements in multiple domestic and foreign jurisdictions is needed. Should have knowledge of the principles and procedures of legal research, including use of Westlaw and Lexis online services. Should have strong computer skills, particularly with Microsoft Word, Access, Excel, Outlook, and PowerPoint. Ability to gather and organize legal evidence is required. Must have knowledge of legal contract, agreement and settlement procedures and documentation. Should have the ability to create, compose, and edit written materials.
