A law firm in Palo Alto, CA, is seeking a talented and detail-oriented Mid-Level Technology Transactions Associate Attorney to join their team. This role involves supporting a broad range of transactions, including M&A, and drafting various commercial and technology agreements. The position offers exposure to a diverse array of industries and deals firm-wide, with close mentoring from senior attorneys and partners. The ideal candidate will have strong experience in technology transactions, outstanding academic credentials, and a technical degree.

Duties and Responsibilities

  • Support the team on various technology transactions, including mergers and acquisitions (M&A) and other commercial agreements.
  • Draft, review, and negotiate a wide range of technology and commercial agreements, including licensing agreements, service contracts, and partnership agreements.
  • Provide legal expertise and support on transactions involving technology and intellectual property.
  • Conduct due diligence, prepare legal analyses, and assist in the negotiation of technology and M&A deals.
  • Collaborate with clients and internal teams to address legal and business issues in technology transactions.
  • Stay current with legal and industry trends related to technology, life sciences, and intellectual property.
  • Manage multiple transactions simultaneously, ensuring timely and effective resolution of legal issues.
  • Communicate clearly and effectively with clients and colleagues, providing high-quality legal advice and support.
  • Receive mentoring and guidance from senior attorneys and partners on complex matters.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in California.
  • Outstanding academic credentials.
  • Technical degree (., Computer Science, Engineering, or related field) is required.
  • Experience in technology transactions.
  • Experience with life sciences transactions and patent law is preferred.
  • Proven ability to draft and negotiate complex commercial and technology agreements.
  • Experience supporting M&A transactions is highly desirable.
  • Strong research, writing, and analytical skills.
  • Excellent communication and interpersonal skills.
  • Ability to work effectively as part of a team and manage multiple projects.
