Corporate - Technology Transactions

Corporate Counsel (Public Sector- Technology, Transactions & Privacy Team) The candidate will draft, review and negotiate a wide variety of technology (including cloud and hybrid SaaS models), intellectual property, and channel agreements, and other types of SLED agreements in accordance with company policies and risk tolerance. Will assist RFP team with public sector proposals, certifications and other requirements. Collaborate and partner effectively with internal business clients to advise on a wide range of legal topics including applicable state and local procurement laws, and contractual rights, obligations and liabilities. Support compliance in day-to-day sales activities, including providing training and counseling to sales professionals and other internal clients, as well as coordinating with other groups within the Legal Department on public sector compliance matters. Manage outside counsel on related matters when required. Support continuous improvement of standard form agreements, policies and legal processes related to commercial transactions. Handle special projects as requested. Must be a lawyer qualified to practice in at least one U.S. state, and have a law degree from a reputable law school. Should have 5+ years of public sector transactional experience with demonstrated success, and significant experience in SLED. Familiarity with revenue recognition rules are needed. Excellent interpersonal skills, business judgment, strategic thinking, superior work ethic, flexibility and ability to work independently is needed. Experience with the Federal contracting (FAR/DFAR) is a plus. Superior language, written and verbal communication skills are required. Experience in network security or other high technology companies are preferred.
