A law firm in Los Angeles, CA, is seeking a skilled Corporate Funds and Private Equity Associate Attorney to join their team. The successful candidate will have 4-6 years of experience in investment funds and investment management, with substantive experience representing private equity sponsors and/or agents in a diverse range of transactions. The role requires creativity, a solutions-oriented approach, and strong analytical and writing skills. Candidates must be licensed and in good standing in the state of California.

Duties and Responsibilities:

  • Advise clients on legal and regulatory issues related to investment funds, including private equity funds, hedge funds, and venture capital funds.
  • Represent private equity sponsors and agents in various transactions, including fund formation, capital raising, and investment structuring.
  • Draft and negotiate complex fund formation documents, such as limited partnership agreements, subscription agreements, and offering memoranda.
  • Conduct thorough legal research and prepare detailed reports, memoranda, and correspondence.
  • Assist in structuring and negotiating investment transactions, including joint ventures, mergers and acquisitions, and strategic investments.
  • Provide guidance on compliance with securities laws and regulations affecting investment funds and private equity transactions.
  • Collaborate with other attorneys and legal professionals to develop and implement effective legal strategies for clients.
  • Stay informed about developments in investment fund law, private equity trends, and regulatory changes to provide relevant and informed legal advice.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Substantive experience representing private equity sponsors and/or agents in a broad range of transactions.
  • Proven ability to handle complex legal issues related to investment funds and private equity.
  • Creative and solutions-oriented with strong analytical and problem-solving skills.
  • Excellent writing and communication abilities.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed and in good standing to practice law in the state of California.

Skills:
