ProfileCounsel – Commercial Transactions The candidate will serve as the company’s second attorney primarily tasked with supporting business owners in their contractual relationships with their vendors. Will work in collaboration with a senior commercial transactions attorney, and the company’s Procurement, Vendor Risk Management, Compliance and Risk Management functions, to support operational business owners and senior managers in their vendor relationships. Support the company’s business owners in the procurement of goods, equipment, software and services pertaining to the company’s day-to-day business and information technology operations, in collaboration with a senior commercial transactions attorney. Ensure that appropriate legal, regulatory and compliance related risks are identified and communicated to the appropriate business owners and senior management. Responsible for mitigating or otherwise addressing identified risks through use of the appropriate contractual risk allocation provisions, which are acceptable to the company’s respective business owners. Review, draft, negotiate and advise business owners on the commercial aspects of vendor contracts to ensure that the company, through its contractual agreements, receives the intended commercial benefits of a contemplated business relationship, while minimizing commercial risks to the company. Reviewing, drafting, negotiating and advising business owners and senior management on vendor contracts. Working with, educating, counseling and training business owners and senior management on identified legal, regulatory and compliance risks. Managing relationships with outside counsel who provide SME support on complex agreements. Supporting the Legal Department with identifying and implementing innovative process improvements to deliver more efficient and cost-effective legal services to our business clients. Must have 6 years of experience as an attorney, 10-15 years is preferred. Should have Juris Doctor from Accredited Law School. Undergraduate Business Degree and/or MBA in Finance, Accounting or equivalent field is desired. 4+ years’ experience reviewing, drafting, negotiating and advising clients of legal, regulatory and compliance risks associated with U.S. commercial transactions, primarily vendor contracts relating to day-to-day business and information technology operations (MSAs, Service Agreements, SOWs, Licensing/SaaS/SaaP Agreements, Consulting Services Agreements) is needed. Computer savvy – skilled in the use of Microsoft Office software (Excel, PowerPoint, Word) is must. Expertise in drafting and negotiating vendor contracts relating to all aspects of a company’s day-to-day business and information technology operations is essential. Experience with automated procurement and contract creation software applications is required. Experience with RFQ, RFI, RFP and reverse auction processes, including the creation of supporting business requirements documentation is needed. Experience with Federal and state privacy laws and regulations, including Gramm Leach Bliley, emerging data protection and cyber-security legal requirements and CFPB and other consumer protection driven vendor compliance obligations is must. Law firm and in-house experience is preferred. Experience with money transmitter / payment processing laws is a plus. Experience with Automotive Finance and Captive Finance or Banking business operations is helpful. Experience with Retail Installment Sales Contracts /Automotive Lease Contracts is desired. Experience with CFPB/Consumer Protection Laws and Regulations is an asset.
