Contracts Analyst The candidate will review, draft, negotiate, and manage company and/or client generated complex, long-form contracts and vendor agreements. Will review and edit clientâ€™s terms and conditions submitted as part of new vendor applications and requests for proposals. Review client purchaser orders and terms to confirm accuracy of information. Advise Sales and Project Managers on appropriate contracting schema based on the project. Partner with internal stakeholders prior to and during contract review to ensure established company processes, policies and procedures are followed. Identify gaps in contracts, including areas of exposure for the company, and obtain additional information from relevant internal stakeholders to draft contracts. Partner with the appropriate stakeholders regarding changes to key business terms relating to price, cancellation and other key operational terms. Identify when contracts have legal implications and partner with Contracts Manager to secure appropriate changes. Respond to contract requests within agreed time frames in order to meet deadlines. Manage contract record in contract data management system, ensuring key communications, approvals, versions of the contract and the final signed contract are uploaded. Assist with updating contract templates to ensure companyâ€™s current business model and policies are reflected. Provide guidance and support to other team members with contract interpretation and clarification. Stay current on company content and delivery options by attending internal classes. Bachelorâ€™s degree is needed. Additional related degree/certificate (business or law degree, paralegal or contracts management certificate) is plus. Should have 3-5 years of experience in contract administration with experience drafting and executing contracts. Experience working in a marketing/sales or training environment is a plus. Experience using MS Office, including ability to redline in Word is needed. Excellent negotiation and problem-solving skill is needed. High level of organizational, interpersonal and communication skill is essential. Excellent reading and writing skills with ability to understand, analyze and interpret contract terms and condition is needed.
