Senior Corporate Securities Paralegal Req No. 2020-5936 Duties: Support corporate governance processes to include general recordkeeping, preparation of board and committee agendas, memos, presentations, minutes, resolutions, and other materials. Support the preparation and filing of NYSE and SEC reports including Forms 10-K, 10-Q, 8-K, Proxy Statements, and Section 16 filings. Support administration of VGH insider trading policy, including tracking of designated insiders, and creation and distribution of the trading black-out calendar. Assists with various corporate governance matters, including corporate governance research, the preparation and delivery of materials for Board and Committee meetings, and other Board related matters. Assists with the preparation, review, execution and tracking of master service agreements, engagement letters, statements of work, powers of attorney, and non-disclosure agreements. Facilitates the annual review and updating of corporate governance materials including tracking changes and ensuring the maintenance and updating of materials. Supports special projects related to Paralegal function as needed.
Qualification and Experience
Qualifications: Bachelor’s Degree from an accredited college or university. 10+ years corporate Paralegal experience. Working knowledge of SEC filing software. Advanced skills in MS Word, Excel, Outlook and PowerPoint. Ability to perform complex legal research, including locating and analyzing secondary authority and contractual precedent. Excellent communication skills and ability to interface well with all levels of the organization and various stakeholders, including but not limited to, Board members, senior-level executives, outside law firms and other third-party advisors. Ability to prioritize, multi-task and work efficiently on a variety of projects with demanding timelines.
