Associate General Counsel
Responsibilities: Taking a significant role in the negotiation, documentation and coordination of closings. Perform due diligence, including title, survey, zoning, lease, service contracts, and third party report review. Assist in the negotiation, drafting and documenting of joint venture agreements. Draft, review and revise various legal documents and contracts including Non-Disclosure Agreements, Vendor Agreements, Service Agreements, leases, purchase and sale agreements, access agreements, etc. Coordinate with outside counsel and internal team members. Maintain corporate records of affiliated companies; maintain property ownership records. Develop and maintain comprehensive electronic and paper filing systems, document controls and implement standardized processes, including form documents. Assist General Counsel with information gathering and document preparation on various subject matters. Assist in developing best practices policies and implementation of same. Must be able to work well with various people in different departments and think proactively. Must be able to multi-task, work well under pressure, balance priorities. Maintain and manage workflow assignments. Conduct legal research and draft memos on issues that may arise. Identify, escalate or resolve routine issues and concerns quickly. Qualification and Experience

Qualifications: Minimum of 3 years or more of applicable law practice experience preferred. Law degree and member in good standing admitted to practice law, preferably in New Jersey and / or Texas (or will need to be willing to be admitted in New Jersey and / or Texas). Previous real estate, corporate, in-house counsel, and/or transactional experience a definite plus. Highly organized with excellent attention to detail. Excellent verbal and written communication skills, the ability to write business/legal reports, memoranda, summaries, and correspondence. Knowledge and experience drafting and preparing a myriad of contracts, leases, and other legal forms and documents. Experience and ability in handling real estate, joint venture, commercial and financing transactions, from term sheet through closing. Familiarity with and knowledge of various aspects of real estate transactions, including real property acquisition, development and construction contracts, easements, procurement of land use entitlements, project financing and funding, leasing, and related matters. Familiarity with and knowledge of general corporate organizational requirements.
