Kansas City office of a BCG Attorney Search Top Ranked Law Firm seeks a transactional partner with 8+ years of relevant experience in M&A; substantial experience in drafting, reviewing and negotiating sophisticated M&A documents. The candidate will serve in the functions: Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions; Engages in pre-transaction planning, due diligence, deal and information management, preparation and negotiation of purchase and other transaction agreements, closings, post-closing matters, and business integration; leads transactions involving equity and assets, mergers, venture capital, private equity and bank financings, joint ventures, and corporate consolidations, reorganizations and restructurings; Advises on key corporate governance, strategic and fiduciary duty issues; Manages communications with the client, client advisors and opposing counsel from the time of initial contact through closing; and implements strong project management and team building skills to better ensure the accomplishment of the client?s objectives in a manner that is time and cost efficient. Experience handling the structuring, financing and completion of acquisitions, mergers, divestitures, joint ventures and partnerships and other commercial and financial transactions. Must preferably have knowledge of market terms for the above corporate transactions in a broad cross-section of industries.
