Senior Counsel Duties: Responsible for providing clear legal advice and practical business-focused solutions enabling the business to achieve its objectives while preserving and protecting the company’s integrity and reputation. Provides assistance to the EVP General Counsel in a broad range of legal department responsibilities including, but not limited to commercial and other contracts, employment, intellectual property, privacy, HR matters, regulatory, and public company reporting. Negotiates, drafts, and reviews contracts including engagement letters, service agreements, independent contractor agreements, nondisclosure agreements, leases, employment agreements, and vendor contracts. Reviews and analyzes applicable legislation and/or regulations addressing general business matters and contracts identifying risks and mitigating actions. Participates in the selection and management of external legal counsel including cost effectiveness. Assists with legal review, including coordination with outside counsel of review of IP portfolios, for corporate development team for evaluating acquisition and in-licensing opportunities. Reviews key business strategies of multiple functions, including marketing, commercial operations, and medical science; advising on adverse event handling; and regulatory agency strategy on inspectional and product safety issues, communications, and product quality issues. Conducts due diligence evaluations for possible business transactions or acquisitions. Monitors regulatory and clinical activities for legal compliance. Ensures coordination with internal legal department and non-legal departments and directs the escalation of issues driving them to resolution. Supports SEC Reporting.

Qualification and Experience

Qualifications: JD Degree from ABA accredited law school and bar admission in CA with significant general legal experience. 8+ years’ progressively responsible experience in providing legal counsel to biotech or pharmaceutical clients. In-house legal experience in a in a publicly traded, commercial company and cost-effective management of outside legal counsel preferred. Must have: Broad knowledge of the pharmaceutical industry and related FDA guidelines is strongly preferred. Experience representing public companies required. Ability to understand and negotiate details and nuances of contract language. Highly developed ability to write memos, correspondence, and procedures on legal matters. Highly developed ability to communicate effectively, both orally and in writing, with lawyers, management, and business partners. Solid negotiating skills with excellent analytical abilities and sound judgment. Multi-tasking abilities necessary to ensure all aspects of legal work are proactively completed in a timely manner. Ability to work independently. Skilled at clearly conveying in-depth knowledge to all levels within, and outside of, the organization. Skilled at creating a cooperative team environment. Able to objectively evaluate situations and make recommendations for changes in light of overall project demands. Appropriate title based on level of skill and experience.
