Associate Counsel
The candidate responsibilities will include: Provides direction, guidance, and assistance on legal matters related to company and its operating entities within continuing care National Health Ministries including, skilled nursing facilities, assisted living facilities, senior housing, home health agencies, hospices agencies, and Programs for All-Inclusive Care of the Elderly (PACE). Subject matters may include taxation, health networks, acquisitions/divestitures, physician contracts, employment/regulatory compliance and general corporate healthcare law. Serves as an experienced high-level specialist with responsibility for an important aspect of the organization’s legal work, regularly interfaces with senior management and key administrators on legal problems/issues relative to continuing care and may provide functional training/guidance to less-experienced attorneys. May be assigned to specific National Health Ministries to provide legal counsel consistent with the company Legal Department, and in coordination with the needs of the assigned National Health Ministry senior management team and board, and the strategies and priorities of the organization. Knows, understands, incorporates and demonstrates the mission, vision and values of company in leadership behaviors, practices and decisions. Performs a variety of legal work for the continuing care ministries of company. Prepares formal memoranda and legal opinion on subjects that require extensive legal research. Consults and advises with and performs a variety of legal assignments for continuing care ministries. Provides consultation and advice to officers and other management personnel of continuing care operations, which includes company PACE, company at Home, company Senior Living Communities and Pittsburgh Mercy Health System. Provides guidance to the Continuing Care Board of Directors in governance and legal matters, works with the chair and executive committee in developing the board's annual work plan, provides governance updates at regularly scheduled board meetings, consults with the continuing care president in matters of the board and oversees all matters of governance. Frequently participates in discussions with and coordinates activities of outside counsel with respect to matters being handled by the outside counsel. Represents the interests of company in contacts with outside parties including attorneys, managers and officials of other companies and government agencies. Provides legal counsel to company and its operating entities with respect to matters either in the field of continuing care, or in the general field of corporate healthcare law. Advises management on developments in the area of continuing care or corporate healthcare law and which may impact company. Coordinates activities of outside counsel engaged to provide legal services to company and/or Ministries. Is a member of and attends the Continuing Care Senior Leadership Team's monthly meetings. Maintains a working knowledge of applicable Federal, State and local laws/regulations; the company Integrity and Compliance Program and Code of Conduct; as well as other policies and procedures in order to ensure adherence in a manner that reflects honest, ethical and professional behavior. Trains leadership in various aspects of law applicable to continuing care such as Fair Housing laws.

Qualification and Experience

The candidate must be Licensed attorney holding a LL.B. or J.D. degree from a recognized law school. Should have 8+ years of experience practicing law with 3+ years of experience in the practice of corporate healthcare law, including the laws affecting tax-exempt organizations, with demonstrated legal capability covering diverse legal assignments that occasionally include legal matters of major significance. Must possess highly effective written and verbal communication skills with the ability to relate directly, openly, and effectively with both internal and external constituencies. Previous experience working with skilled nursing facilities, assisted living facilities, senior housing, home health agencies, hospices agencies, or Programs for All-Inclusive Care of the Elderly (PACE) preferred. Knowledge of the regulatory framework and statutory requirements for skilled nursing facilities, assisted living facilities, senior housing, home health agencies, hospices agencies, and Programs for All-Inclusive Care of the Elderly (PACE) desired.
