Senior Counsel, Compliance and Corporate Governance Duties: Providing expertise and guidance to people across the company on a broad range of compliance topics, including ethics, anti-bribery, trade compliance, confidentiality, conflicts of interest, insider trading, and other key compliance areas; Developing and delivering educational and engaging training and communications to employees across the company on ethics and compliance matters, including in-person roadshows at our various global locations and the development of interactive online content; In partnership with various functions, develop, implement, and maintain our compliance-related policies and procedures, including the Code of Conduct; Manage various internal compliance systems, including our conflicts of interest process, side projects program, and ethics hotline; Manage and continue to develop our company-wide ethical liaison program; In partnership with employee communications, draft compliance-related communications and develop and implement a communications plan to help maintain our culture of ethics and embed compliance into our daily operations and activities Support or lead ethics hotline administration, complex internal investigations and resulting remediation, including coordination with multiple internal stakeholders, outside counsel, and other parties, and provides related legal advice to the company in connection with those investigations; Measure progress and effectiveness of our compliance program through testing, analysis, and reporting; Monitor industry and regulatory developments, and make compliance recommendations; Pursue continuing education to maintain knowledge of current ethics and compliance rules and practices; Oversee Company’s insider trading program; Support transactional matters (e.g., acquisitions and/or debt-related work); Support the office of the Chief Compliance Officer, Corporate Secretary and Chief Risk Officer; Manage Compliance and Risk Associate; Assist and consult on the Company’s ESG report; Oversee corporate governance for the Call of Duty Endowment, the Company’s charitable private foundation, from scheduling Board and Board committee meetings to drafting and assembling materials and minutes.
Qualification and Experience
Qualifications: Law degree from an accredited law school; Admission to California State Bar or admission to another bar and willingness and qualifications to be “Registered In-House Counsel”; 5-9 years as a practicing lawyer at a reputable law firm and/or in-house department and excellent academic credentials; some in-house experience preferred; Knowledge and experience with a broad range of compliance topics; Experience with M&A and/or corporate finance transactions; Familiarity with credit facilities and indentures; Experience with or strong interest in designing and implementing ethics and compliance program for a multinational publicly traded company, including designing and tailoring training, developing policies and procedures, and providing guidance on compliance topics; Experience leading and conducting confidential and privileged investigations into compliance-related matters preferred; Exceptional oral and written communication skills, including the ability to explain complex legal and concepts concisely and effectively to non-lawyers; Innovative, entrepreneurial, and results-oriented with a passion to solve complex problems in creative and pragmatic ways; Strong influencing skills as well as excellent collaboration skills to engage with a diverse set of teams and colleagues across the company; Outstanding presentation skills, including confidence delivering compliance trainings to large groups in a compelling and energetic style; Good judgment, highly organized, highly resourceful, process-driven, detail-oriented, responsible and conscientious; Able to excel both when completely self-driven and when working as part of a larger team; Strong sense of ownership and accountability, ability to make decisions efficiently and quickly; Comfortable working in a fast-moving and entrepreneurial company and industry; familiarity with the gaming, technology, or entertainment industries is a plus; Willing and able to travel to our various offices around the world; Tech-savvy; proficiency in Microsoft Office required, and proficiency in more advanced design applications, like Adobe InDesign, a plus; An excellent creative writer who is able to express complex legal principles into fundamental, digestible materials, while being strategic and thoughtful about timing, messaging, and execution of employee-facing communications is a plus.
