Boston office of our client seeks commercial corporate attorney with 3+ years of experience negotiating and documenting commercial agreements, including software and patent license agreements, manufacturing agreements, distribution or VAR agreements or similar commercial contracts. The candidate will provide high-level guidance and innovative solutions to clients on a broad array of commercial matters. Will prepare and review commercial agreements and related documentation. Proactively manage all regulatory, risk and compliance matters. Draft, review and negotiate contracts. Effectively act as a trusted advisor to clients. Should preferably have expertise in data privacy issues, online terms of use and privacy policies, trademarks, or biotech (sponsored research and the like) agreements as well as experience with more general corporate work, including mergers and acquisitions and venture capital transactions. Must have 2-4 years of experience with a large firm, handling all aspects of corporate work, including commercial agreements, licenses and similar agreements. Should be a Member of MA Bar. Knowledge of federal and state securities laws is required.
