Consulting, Mergers and Acquisitions Tax Manager Duties: Advising clients on the tax implications of their business objectives, evaluating and selecting alternative actions to lessen tax burden and cost of compliance and identifying different methods of complying with tax regulations while acting as the primary client contact for complex tax issues. Applies knowledge of M&A practices, including corporate M&A, private equity and restructuring, as it relates to Section 382 projects. Involved in the marketing, networking and business development within the Section 382 area of expertise and specialization, and provides written tax advice to clients upon request.

Qualification and Experience

Qualifications: Bachelor’s degree in Accounting or other relevant field, required. Master’s degree in Accounting or Taxation, preferred. JD Degree, preferred. CPA license or other relevant professional licenses and/or certifications, preferred. 5+ years of experience with a large CPA firm focusing on M&A advisory, including section 382 , due diligence, transaction cost analysis, financial modeling and deal structuring, required. Experience interpreting law and conducting research, required. Experience with corporate taxation, consolidations and partnerships, preferred. Experience managing multiple client engagements and client service teams. Proficient in Microsoft Office Suite, specifically advanced skills in Excel, Word, PowerPoint and Outlook, preferred. Experience with tax research databases including, but not limited to, BNA and RIA, preferred. Ability to articulate complex information when providing crucial negotiation insights. Strong self-motivation with the ability to work in a dynamic, time-sensitive environment with varying deliverables and changing requirements. Strong understanding of U.S. GAAP, including the accounting for income tax principles. Ability to read and understand financial statements and tax returns. Excellent verbal and written communication skills. Ability to effectively delegate work. Strong analytical, research, critical thinking and decision-making skills. Capable of working well independently or in a team environment. Ability to compose written tax advice. Capable of effectively developing and maintaining client relationships. Executive presence, and ability to act as primary client contact for preparation and presentation of issues and resolutions to clients.
