This position will be primarily responsible for providing legal advice, guidance and support for strategic partnerships and development (i.e., commercial transactions) and business development transactions. **Essential Duties and Responsibilities** - Lead the drafting, negotiating, and structuring of and provide counsel on transactions (including mergers and acquisitions, strategic investments, strategic divestitures, collaborations and partnerships and other transactions). - Identify and resolve critical legal issues and identify and help resolve critical business issues arising from transactions. - Partner with internal business teams to ensure strategic alignment in all transactions, escalating matters as appropriate with the judgment to understand when escalation is necessary. - Manage business relationships and counsel internal stakeholders across a broad sphere of influence, internally and externally, on transaction and strategic issues pertaining to alliance partnerships and collaborations. - Manage key documents including drafting, editing, negotiating, and reviewing contracts such as confidentiality agreements, customer contracts, provider contracts, business associate agreements, employment agreements, and various vendor contracts. - Provide legal support to company financing and M&A initiatives. - Contribute to highly collaborative culture with effective relationships with peers in legal and contracts department as well as other key functions. - Demonstrate a service-oriented approach to advising internal business teams. **Qualifications / Requirements** - - 6-8+ years of legal M&A, collaborative transactional and/or licensing experience - A mix of law firm and in-house and/or government experience, with demonstrated experience drafting and negotiating complex, large-scale commercial agreements in the biotechnology, chemical or advanced manufacturing sectors is preferred - Creative problem solver who is collaborative, possesses sound business judgment, is detail-oriented, and a self-starter - Ability to demonstrate sound judgment even in ambiguous situations - Must have high integrity, ability to assess risk, ability to make decisions and think strategically while applying knowledge of applicable legal issues - Ability to work independently and contribute successfully to cross-functional teams - Excellent organizational skills, ability to manage multiple projects at once and under deadline pressure follow through, and meet deadlines - Demonstrated ability to quickly learn new technologies - Strong written and oral communication skills - Ability to work in a fast-paced environment and handle multiple tasks simultaneously **Salary** The salary for this position will be commensurate with qualifications and experience.
