Paralegal Revenue Cycle The candidate will review, edit and manage a high volume of contracts, including, but not limited to, drafting and preparing, reviewing and proofing a variety of contracts, which may include employment agreements, service contracts, asset purchase agreements, hospital-physician recruitment contracts, and other ancillary agreements such as amendments, addenda, separations and terminations of physician arrangements as well as memoranda and letters. Will prepare initial document drafts, ensuring consistency of agreement terms and conditions. Coordinate the process for renewals and other updates to contracts. Facilitate the contract negotiation process and ensure that required terms, conditions and timelines are met. Assist Counsel in resolving day to day legal issues and periodic legal projects and conduct any necessary follow up. Conduct periodic legal research as required. Serve as liaison between Counsel, other business units and external contacts to coordinate and expedite legal matters to ensure related documents are prepared and executed accurately and in a timely manner. Assist clients in interpreting contract terms and conditions. Assist with the preparation of filings with applicable state and federal regulatory authorities. Independently research, investigate, draft, prepare file, organize and distribute legal documents. Responsible for discrete handling of extremely sensitive confidential and attorney-client privileged information. Assist with responding to subpoenas and other requires for information. Prepare meeting materials, and assist in policy and procedure drafting and development. Prepare corporate governance documents, including board resolutions, consents, meeting minutes, etc. Handle various administrative tasks, including preparing cover letters, photocopying, etc. Assist in developing and maintaining best practices for tracking and reporting relevant data and processing legal documents in a timely and accurate manner. Manage a variety of projects pertaining to routine legal operations. Attend meetings for activities related to primary accountabilities. Adhere to all Mercy policies, procedures, and standards within budgetary specifications including time management, supply management, productivity and quality of services. Promote individual professional growth and development by meeting requirements for mandatory/continuing education and skills competency; supports department-based goals which contribute to the success of the organization; serves as preceptor, mentor and resource to less experienced staff. Other duties as assigned. Work under the supervision of Counsel. Bachelor’s degree with substantial experience in a law firm and/or corporate law department preferred. Must have a strong transactional background and prior contracts experience. 4+ years transactional/contracts experience preferred. Experience in health care is a plus. Paralegal certificate from an ABA approved program preferred. Must have, or attain, full knowledge of terminology related to the health care industry. Must show proficiency with contract language. Must have, or attain, a strong understanding of the laws governing health care transactions / physician employment, including the Stark law and Anti-Kickback statute. Must be able to demonstrate knowledge and skills necessary to professionally liaison between Counsel, other business units and external contacts in furtherance of the required legal assignments. Must have strong computer knowledge and keyboard skills, with proficiency in Microsoft Word, Outlook, Excel and Power Point. Must be customer focused and view customer service as a priority.
